Waste Heat ROI Simulator

1. Scope and Strictly B2B Nature of Service

These Terms of Service ("Terms") govern access to and use of the Waste Heat ROI Simulator web application ("Service"), developed and operated by Omega Orionis Oy ("Provider", VAT ID: FI33600758, domiciled in Tampere, Finland).

Strictly Business-to-Business (B2B): The Service is designed, marketed, and licensed exclusively for professional commercial entities, engineering consultancies, utilities, and corporate users. By registering an account or purchasing a license, the Customer warrants that it is acting solely in a professional business capacity and provides a valid Company Name and VAT / Tax Registration ID. Consumer protection laws, including statutory consumer cooling-off or withdrawal rights, do not apply to any subscription or transaction.

2. License Grant & Commercial PDF Exports

Subject to timely payment of applicable license fees, the Provider grants the Customer a non-exclusive, non-transferable, revocable license for a single named user account to access the PRO features of the Service during the active subscription term.

Commercial Reporting Rights: Customers holding an active B2B Pro License are expressly permitted to generate, download, and distribute PDF feasibility reports created by the Service to their own internal stakeholders, investment committees, or external consulting clients. Reverse-engineering, automated scraping, or reselling direct login access to the software itself is strictly prohibited.

3. Merchant of Record, Subscriptions & No-Refund Policy

Online Checkout via Paddle: Our online order process is conducted by our online reseller and Merchant of Record, Paddle.com. Paddle.com provides customer service inquiries regarding billing and handles payment processing, sales tax / VAT calculation, and invoicing for card and digital wallet transactions.

Recurring Billing & Cancellation: Subscriptions (1-Month, 6-Month, or 12-Month terms) renew automatically at the end of each billing cycle unless cancelled prior to the renewal date. Customers may cancel auto-renewal at any time via the Customer Portal link in the application interface. Upon cancellation, PRO access remains active until the end of the paid period.

No Refunds: Because the Service provides immediate access to proprietary calculation models and downloadable executive reports (and offers an interactive Demo Mode prior to purchase), all B2B license fees paid are final and non-refundable.

4. Engineering Disclaimer & Limitation of Liability

The Service is a mathematical simulation tool intended solely for preliminary Rough Order of Magnitude (ROM) screening and conceptual feasibility evaluation. Output values (including Payback Period, NPV, IRR, COP estimates, and CO₂ reductions) depend entirely on user-supplied assumptions and simplified thermodynamic models.

The Service does not constitute certified engineering design, binding financial advice, or a guarantee of physical equipment performance. Final capital investment decisions must always be verified through site-specific engineering studies, hydraulic modeling, and binding vendor quotations.

To the maximum extent permitted by applicable law, the Provider shall not be liable for any indirect, consequential, or investment losses arising from the use of the Service. The Provider's total aggregate liability under these Terms shall in no event exceed the total subscription fees paid by the Customer during the twelve (12) months immediately preceding the claim.

5. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Finland, excluding its conflict-of-law provisions. Any dispute, controversy, or claim arising out of or relating to this B2B agreement that cannot be resolved amicably shall be settled exclusively by the District Court of Pirkanmaa (Pirkanmaan käräjäoikeus) in Tampere, Finland.
